1. Definition

1.1. “Conditions” means these terms and conditions and the Special Conditions;
1.2. “Contract” means the Order Confirmation (incorporating any Special Conditions);
1.3. “Goods” means the goods which the Seller is to sell in accordance with these Terms and Conditions;
1.4. “Prices” means the price at which the Seller has agreed to accept the order and is deemed inclusive of any applicable delivery charges and VAT;

You agree fully to indemnify, defend and hold us, and our officers, directors, employees, agents and suppliers, harmless immediately on demand, from and against all claims, liability, damages, losses, costs and expenses, including reasonable legal fees, arising out of any breach of the Conditions by you by you or any other liabilities arising out of your use of this Website, or the use by any other person accessing the Website using your shopping account and/or your Personal Information.

2.4.1. We reserve the right to:
2.4.1.1. Modify or withdraw, temporarily or permanently, this Website (or any part thereof) with or without notice to confirm that we shall not be liable to you or any third party for any modification to or withdrawal of the Website; and/or
2.4.1.2 Change the Conditions from time to time, and your continued use of the Website (or any part thereof) following such change shall be deemed to be your acceptance of such change. If you do not agree to any change to the Conditions then you must immediately stop using the Website.
2.3. Basis of Sale
2.3.1. These Terms and Conditions and any Special Conditions will govern the Contract to the exclusion of any other terms, including any terms and conditions which the user may purport to apply under any purchase order, confirmation of order or other document and that by placing an order the user acknowledges that any business conducted thereunder will be subject to these Terms and Conditions.
2.3.2. Any variation of these Terms and Conditions and the Special Conditions will only bind the Seller if agreed in writing between authorised representatives of the Seller and the User.
2.3.3. The seller’s employees are not authorised to make any representations concerning the Goods unless confirmed by the Seller in writing.
2.4. Orders and Specifications
2.4.1. All goods are offered for sale subject to availability and subject to the Seller’s acceptance of the Order.
2.4.2. No order shall be deemed accepted by the Seller unless and until it is confirmed unconditionally by the Seller in writing who reserves the right in its ultimate discretion whether to accept an order from time to time from any User.
2.4.3. Any literature published or submitted by the Seller to a User which contains descriptions, specifications, drawings or prices of the Good is published or submitted for guidance only. The seller reserves the right to make minor modifications in the design and specification of the Good without notice.
2.4.4. In the event that the Seller accepts an Order from a Buyer and that for reasons beyond the control of the Seller that it is unable to supply the goods ordered to the Buyer then the Buyer agrees to accept repayment of the amount paid to the Seller in full and final settlement of all and any claims it may have as against the Seller for non-delivery.
2.5. Price and Payment
2.5.1. All prices are inclusive of VAT within the United Kingdom and Republic of Ireland where appropriate. All prices are quotes in British pound sterling (£ GBP) only.
2.5.2. The total value of your order including VAT and delivery charges will be displayed on the order confirmation screen. The displayed prices is the amount in British pound sterling (£ GBP) that you will pay.
2.5.3. Prices of the products and our delivery charge (where applicable) will be quote on website at the point of ordering (subject to revision for errors).
2.5.4. Our product prices are liable to change at any time. Any changes made to our product prices after order confirmation has been sent out to you will not affect any order which you have already placed.
2.5.5. We are under no obligation to provide a product to you at the incorrect (lower) price, even after we have sent out an order confirmation, if the pricing error is obvious and unmistakeable and could reasonably been recognised by you as an error.
2.6. Liability
2.6.1. The Seller will not be liable in any way for loss, damage, cost or expenses (including loss of profit) arising directly or indirectly from any failure or delay in performing any obligation under this Contract by reason of any event or circumstances outside the reasonable control of the Seller, including, but not limited to, failure of power supplies or equipment, government action or Act of God.
2.6.2. Nothing in this Condition (2.6) shall limit or exclude any liability of the Seller for death or personal injury caused by the Sellers negligence. Except as provided in this condition the Seller will not be liable to the seller for any direct or consequential loss or damage, costs, expenses (including loss or profit) or other claims for compensation whatsoever arising out of or in connection with sale of the Goods or their use or resale by the User.
2.7 Third Party Links
2.7.1. To provide increased value to our Users, we may provide links to other websites or resources for you to access at your sole discretion. You acknowledge and agree that, as you have chosen to enter the linked website we are not responsible for the availability of such external sites or resources, and do not review or endorse and are not responsible or liable, directly or indirectly, for: (i) the privacy practices of such websites
(ii) the content of such websites, including (without limitation) any advertising, content, products, goods or other materials or services on or available from such websites or resources or
(iii) the use to which other make of these websites or resources, nor for any damage, loss or offence caused or alleged to be caused by, or in connection with, the use of or reliance on such advertising, content, products, goods or other materials or services available on such external websites or resources.

4. Purchase of products

4.1. Orders
4.1.1. We will take all reasonable care, in so far as it is in our power to do so, to keep the details of your order and payment secure, but in the absence of negligence on our part we cannot be held liable for any loss you may suffer if a third party procures unauthorised access to any data you provide when accessing or ordering from the Website
4.2. Contract creation and electronic contracting
4.2.1. The technical steps required to create the contract between us are as follows:
4.2.1.1. You place the order for your products on the Website by pressing the confirm order button at the end of the checkout process. You will be guided through the process of placing an order by a series of simple instructions on the Website.
4.2.1.2. We will send to you an order acknowledgement email detailing the products you have ordered. This is an order acceptance and the completion of the contract between you and us and will remain valid unless we have notified you that we do not accept your order, or you have cancelled it in accordance with the instructions.
